For and in consideration of US Road Running, LLC ("US Road Running," "US Road Running Race Club," or "USRR") allowing me, the registrant, to participate in the US Road Running event for which I am registering, including any related activities, packet pickup, warm-up, cool-down, start/finish area, course, parking area, shuttle area, awards ceremony, and any other Event-related location or activity (collectively, the "Event" or "Events"), I, for myself and on behalf of my spouse, children, guardians, heirs, next of kin, legal and personal representatives, executors, administrators, successors, and assigns, hereby agree to and make the following contractual representations pursuant to this Waiver and Release of Liability, Assumption of Risk, and Indemnity Agreement (the "Agreement").

IMPORTANT NOTICE: BY ACCEPTING THIS AGREEMENT, I AM GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE THE RELEASED PARTIES FOR CLAIMS ARISING FROM ORDINARY NEGLIGENCE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. I UNDERSTAND THAT THE EVENT MAY NOT HAVE ON-SITE EMS, EMTs, PARAMEDICS, AMBULANCE SERVICE, PHYSICIANS, NURSES, ATHLETIC TRAINERS, OR DEDICATED MEDICAL PERSONNEL. I UNDERSTAND THAT WATER OR AID MAY BE LIMITED, UNAVAILABLE, DELAYED, OR MAY RUN OUT. I AM RESPONSIBLE FOR MY OWN FITNESS, HYDRATION, WEATHER PREPARATION, MEDICAL CONDITION, AND DECISION TO START, CONTINUE, STOP, OR WITHDRAW.

1. Eligibility, Fitness, and Personal Responsibility

I hereby represent that (i) I am at least eighteen (18) years of age, or this Agreement is also agreed to by my parent, natural guardian, or legal guardian (the "Guardian"); (ii) I am in good health and in proper physical condition to participate in the Event; and (iii) I am not under the influence of alcohol or any illicit or prescription drugs that would in any way impair my ability to safely participate in the Event. I agree that it is my sole responsibility to determine whether I am sufficiently fit, healthy, trained, and prepared to participate in the Event. I understand that I should consult a qualified medical professional before participating if I have any question about my ability to safely participate, including because of illness, injury, pregnancy, disability, medication, heat sensitivity, cardiac condition, respiratory condition, or any other medical or physical concern.

I understand that I am responsible for checking the weather forecast and Event conditions before participating, preparing for the actual and possible conditions, and bringing appropriate clothing, footwear, hydration, nutrition, medication, sun protection, cold or rain protection, and other supplies I may need. I understand that I am responsible for my own safety, hydration, nutrition, medical condition, pace, and well-being at all times and under all circumstances while participating in or being present at the Event.

2. Assumption of Risks

I understand and acknowledge that participation in road running, race walking, track and field, cross country, mountain, ultra, trail running, virtual, and related Events is inherently dangerous and can represent an extreme test of a person's physical and mental limits. I understand and acknowledge the risks and dangers associated with participation in the Event and related activities, including without limitation: serious bodily injury; sickness and disease, including communicable disease; heat illness; dehydration; hyponatremia; cardiac events; exhaustion; permanent disability; paralysis; death; loss of or damage to equipment or property; exposure to extreme weather or other conditions; lightning; heat; humidity; cold; rain; wind; poor air quality; darkness or limited visibility; contact with other participants, spectators, volunteers, animals, vehicles, bicycles, strollers, or other natural or manmade objects; open roads; traffic; intersections; railroad crossings; curbs; potholes; uneven pavement; gravel; trails; mud; roots; rocks; water; slippery or unstable surfaces; course-marking issues; imperfect course or track conditions; land, water, and surface hazards; equipment failure; inadequate or unavailable safety measures; inadequate or unavailable water, aid, nutrition, cooling, medical, or emergency support; delayed emergency response; participants of varying skill levels; my own failure to follow instructions or monitor my condition; situations beyond the immediate control of the Event Organizers; and other undefined, not readily foreseeable, and presently unknown risks and dangers (collectively, "Risks").

I understand that these Risks may be caused in whole or in part by my own actions or inactions, the actions or inactions of others participating in or organizing the Event, conditions at the Event, the acts or omissions of the Released Parties, or the ordinary negligence of the Released Parties (as defined below). I hereby expressly, knowingly, and voluntarily assume all such Risks and full responsibility for any damages, liabilities, losses, costs, or expenses that I incur as a result of my participation in or presence at the Event, except to the extent caused by the gross negligence or willful misconduct of any Released Party where such Liability may not be released as a matter of applicable law.

3. Voluntary Participation; No Guarantee of Safety

I understand that my participation in the Event is voluntary. I understand that the Released Parties do not and cannot guarantee my safety, the safety of the course, the condition of roads, trails, sidewalks, crossings, parks, parking areas, facilities, or surrounding areas, the conduct of other people, the availability of aid, the accuracy or completeness of course markings, the absence of traffic or hazards, or the availability, timing, or quality of emergency response. I understand that Event conditions may change before or during the Event and that a course, route, start time, distance, aid location, water availability, traffic plan, or other Event detail may be changed, delayed, shortened, stopped, canceled, or left unchanged at the discretion of USRR, the event director, law enforcement, permitting authorities, weather conditions, venue operators, or other Event Organizers.

I agree that I am responsible for making my own decision to start, continue, slow down, stop, withdraw, seek help, or call 911. I understand that I should not rely on USRR, staff, contractors, volunteers, other participants, spectators, or any Event Organizer to identify that I am injured, ill, dehydrated, overheated, undertrained, unprepared, or otherwise unable to safely participate.

4. No On-Site EMS or Dedicated Medical Care; Hydration Responsibility

I understand and agree that USRR does not provide on-site EMS, EMTs, paramedics, ambulance service, physicians, nurses, athletic trainers, or dedicated medical personnel at the Event unless a specific Event page expressly states otherwise in writing. I understand that USRR staff, contractors, and volunteers are not responsible for diagnosing, monitoring, supervising, or treating my medical condition, hydration, injury, illness, or physical wellness. If emergency assistance is needed, I or someone on my behalf may need to call 911 or seek outside emergency services, and emergency response time, availability, cost, transport, and treatment are not controlled by USRR or the Event Organizers. I authorize USRR and the Event Organizers to request emergency medical assistance or transportation for me if they believe it is appropriate, and I agree that I am solely responsible for any resulting medical, ambulance, transport, treatment, or related costs. I understand that USRR does not provide health, accident, medical, disability, life, or property insurance for me.

I understand that USRR will make reasonable efforts to provide water at or near the start/finish area, but water may be limited, unavailable, delayed, or may run out. I understand that USRR does not guarantee the availability, amount, location, timing, temperature, or quality of water, sports drink, electrolytes, nutrition, cups, ice, cooling stations, medical care, or any other aid at the Event. I agree that I am solely responsible for checking the weather forecast, monitoring weather and Event conditions, arriving prepared for heat, humidity, cold, rain, wind, lightning risk, poor air quality, darkness, or other conditions, carrying or arranging enough fluids, electrolytes, nutrition, medication, and supplies for my own needs, monitoring my hydration and physical condition, and deciding whether to slow down, stop, withdraw, or seek help. I agree that I should not start or continue the Event if I am injured, ill, dehydrated, overheated, undertrained, unprepared for the conditions, or otherwise not able to safely participate.

5. Event Rules, Conduct, and Participant Information

I agree to be familiar with and to abide by the rules, directions, and safety instructions established for the Event, including any rules adopted by USRR, the event director, venue, municipality, permitting authority, law enforcement, or other Event Organizers. I accept sole responsibility for my conduct, pace, decisions, actions, and equipment while participating in or being present at the Event. I agree to follow course markings, traffic instructions, volunteer directions, law enforcement directions, and posted or announced safety rules. If I observe or experience a hazard, unsafe condition, injury, illness, or other concern, I agree that I am responsible for avoiding the hazard when possible, slowing down, stopping, withdrawing, reporting the concern, or seeking help as appropriate. I understand that failure to follow Event rules or instructions may result in removal or disqualification.

I represent that the registration information, emergency contact information, age, date of birth, medical information, and any other information I provide to USRR or the Event Organizers is accurate and complete to the best of my knowledge. I understand that inaccurate, incomplete, or missing information may delay identification, communication, or emergency response.

6. Personal Property

I understand and agree that I am solely responsible for my personal property, including clothing, bags, phones, watches, headphones, keys, wallets, money, vehicles, and any other belongings. I release the Released Parties from any claim for lost, stolen, damaged, delayed, moved, or discarded property, whether before, during, or after the Event, except to the extent such Liability may not be released as a matter of applicable law.

7. Release, Waiver, Covenant Not to Sue, and Indemnity

I hereby release, waive, discharge, and covenant not to sue, and further agree to indemnify, defend, and hold harmless the following parties, as relevant and applicable in each instance: US Road Running, LLC; US Road Running Race Club; their members, clubs, associations, sport disciplines, divisions, owners, officers, directors, managers, members, employees, contractors, agents, representatives, volunteers, and affiliates; event directors; race directors; timers; photographers; announcers; registration platforms and providers; medical or first aid providers, if any; host organizations; sponsors; advertisers; vendors; coaches; officials; municipalities; permitting authorities; law enforcement agencies; public entities providing support for the Event; facility, venue, course, and property owners or operators upon which the Event takes place; and each of their respective parent, subsidiary, and affiliated companies, officers, directors, partners, shareholders, members, agents, employees, contractors, and volunteers (individually and collectively, the "Released Parties" or "Event Organizers"), from and with respect to any liability, claim, demand, cause of action, damage, loss, cost, or expense, including court costs and attorneys' fees, of any kind or nature, whether known or unknown, foreseen or unforeseen (collectively, "Liability"), that may arise out of, result from, or relate in any way to my registration for, travel to or from, participation in, presence at, observation of, volunteering for, or other involvement with the Event, including claims alleging ordinary negligence of any Released Party, to the fullest extent permitted by applicable law.

This release is intended to be as broad and inclusive as permitted by applicable law. This release does not apply to Liability to the extent caused by the gross negligence or willful misconduct of a Released Party where such Liability may not be released as a matter of applicable law. I further agree that if, despite this Agreement, I, or anyone on my behalf, makes a claim for Liability against any Released Party, I will indemnify, defend, and hold harmless each Released Party from any such Liability incurred as the result of such claim, except to the extent caused by the gross negligence or willful misconduct of that Released Party, as relevant and applicable in each instance and to the fullest extent permitted by applicable law.

8. Likeness and Media Release

As a condition of my participation in the Event, I hereby grant USRR, the event director, the host organization, sponsors, photographers, videographers, and their authorized representatives a limited license to use my name, likeness, image, photograph, voice, video, athletic performance, results, biographical information, and other Event-related information (collectively, "Likeness") in any media platform or format, whether now known or later developed, without charge, restriction, compensation, notice, or liability, but only for purposes related to advertising, promoting, reporting, documenting, or publicizing the Event, USRR, US Road Running Race Club, or the sport of running and athletics. This license does not permit use of my Likeness in a way that states or implies a personal endorsement of a product, service, company, or political position without my separate written consent.

9. Guardian Agreement for Minors

If the participant is under the age of eighteen (18), the Guardian accepting this Agreement represents and warrants that the Guardian is the participant's parent, natural guardian, or legal guardian; has legal authority to accept this Agreement on behalf of the minor participant; has read and understands this Agreement; consents to the minor participant's participation in the Event; understands that the Event involves the Risks described above; understands that USRR does not provide on-site EMS or dedicated medical personnel unless expressly stated otherwise in writing; understands that water and aid may be limited, unavailable, delayed, or may run out; accepts responsibility for checking the weather forecast and Event conditions, preparing the minor participant for the conditions, and supervising the minor participant's hydration, nutrition, medical condition, physical wellness, clothing, footwear, supplies, and readiness to participate; agrees to the release and discharge of the Released Parties to the fullest extent permitted by applicable law; and agrees to indemnify, defend, and hold harmless the Released Parties from any and all Liability that may arise out of, result from, or relate in any way to the minor participant's registration for, travel to or from, participation in, presence at, observation of, volunteering for, or other involvement with the Event, except to the extent caused by the gross negligence or willful misconduct of a Released Party, as relevant and applicable in each instance and to the fullest extent permitted by applicable law.

10. Electronic Acceptance and Registration Record

I agree that my electronic acceptance, checkbox acceptance, digital signature, typed name, online registration submission, or other electronic confirmation of this Agreement is intended to authenticate this Agreement and is legally binding to the same extent as a handwritten signature, to the fullest extent permitted by applicable law. I consent to USRR and its registration providers maintaining an electronic record of my acceptance, including the waiver version, Event, participant name, Guardian information if applicable, registration account, date and time, IP address or device/browser information if collected, and related registration data. I agree that a copy, screenshot, database record, audit log, or other reliable record of my acceptance may be used as evidence of my agreement.

11. Survival, Governing Law, Venue, and Interpretation

This Agreement applies before, during, and after the Event and survives my registration, participation, withdrawal, disqualification, Event delay, Event modification, Event cancellation, Event completion, injury, illness, death, or incapacity. To the fullest extent permitted by applicable law, this Agreement shall be interpreted under the law of the state in which the Event occurs, without regard to conflict-of-law rules, unless a court of competent jurisdiction determines that another law must apply. To the fullest extent permitted by applicable law, any lawsuit, claim, or legal proceeding arising out of or relating to the Event or this Agreement shall be brought only in a court with jurisdiction over the county and state in which the Event occurs, unless applicable law requires a different venue. I agree that the Released Parties are intended third-party beneficiaries of this Agreement and may enforce this Agreement.

12. Acknowledgment, Entire Agreement, and Severability

I hereby warrant that I, or the Guardian if the participant is under eighteen (18), am of legal age and competent to enter into this Agreement; that I have read this Agreement carefully; that I understand its terms and conditions; that I understand I am giving up substantial legal rights by accepting it, including rights that may otherwise belong to my spouse, children, guardians, heirs, next of kin, legal and personal representatives, executors, administrators, successors, and assigns; that I accept this Agreement freely and voluntarily without any inducement, assurance, or guarantee; that I understand I may choose not to participate if I do not accept this Agreement; and that I intend my acceptance to serve as my complete and unconditional acceptance of this Agreement.

This Agreement represents the complete understanding between the parties regarding these issues, and no oral representations, statements, promises, or inducements have been made apart from this Agreement. If any provision of this Agreement is held to be unlawful, void, or unenforceable for any reason, that provision shall be deemed modified to the minimum extent necessary to make it enforceable if permitted by law, or otherwise severed from this Agreement, and shall not affect the validity and enforceability of the remaining provisions, which shall remain in full force and effect to the fullest extent permitted by applicable law.
